Terms of Service

1. Acceptance of Terms
By accessing or using RioAsk ("the Service"), operated by RiroTech LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.
2. Description of Service
RioAsk is an AI-powered prompt engineering platform that transforms user questions into structured, expert-level prompts. The Service includes domain classification, clarification questions, prompt generation, quality scoring, document upload (RAG), prompt history, variant comparison, and analytics dashboards.
3. Account Registration
- You must provide a valid email address and create a password to register.
- You must be at least 18 years of age to use the Service.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorized use of your account.
- You may not assign or transfer your account to another person without our written consent.
4. Subscription Plans
The Service is offered in multiple tiers: Free, Pro, Teams, and Enterprise. Each tier has different feature limits, usage quotas, and pricing as described on our Pricing page.
- Free — limited daily compilations, restricted domains and features
- Pro — unlimited compilations, all domains, dashboard, history, documents, export, compare
- Teams — everything in Pro plus organization management, shared analytics, and API access
- Enterprise — everything in Teams plus admin controls, audit logs, custom compliance packs, and dedicated support
Enterprise subscriptions may be subject to a separate written agreement, which shall control in the event of conflict with these Terms.
5. Payments and Billing
- Paid subscriptions are billed monthly or annually through Stripe.
- All prices are in USD and are exclusive of applicable taxes.
- Subscriptions auto-renew unless cancelled before the next billing cycle.
- You may cancel your subscription at any time via the billing portal. Access continues until the end of the current billing period.
- We do not offer refunds for partial billing periods, except where required by law.
- We reserve the right to change pricing with 30 days' notice to existing subscribers.
6. Acceptable Use
You agree not to use the Service to:
- Submit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Attempt to bypass rate limits, tier restrictions, or security measures
- Use automated tools (bots, scrapers) to access the Service without our written permission
- Upload malicious files or content designed to exploit vulnerabilities
- Impersonate another person or entity
- Interfere with or disrupt the Service or its infrastructure
- Use the Service to generate content that facilitates illegal activities
We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.
7. Content and Intellectual Property
7.1 Your Content
You retain ownership of the questions you submit and documents you upload. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service.
7.2 Generated Prompts
Prompts generated by RioAsk are derived from your input using our proprietary engine. You may use generated prompts for any lawful purpose. We do not claim ownership of generated output. Free-tier outputs may include attribution watermarks.
7.3 Our Property
The Service, including its design, code, algorithms, domain classification engine, templates, and documentation, is the intellectual property of RiroTech LLC. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
8. Content Moderation
We use automated content moderation to filter harmful, abusive, or illegal content. Inputs that trigger our moderation system will be rejected. Repeated violations may result in account suspension or permanent ban. Moderation decisions are logged for audit purposes.
9. Third-Party AI Providers
The Service integrates third-party AI providers to generate clarification questions, embeddings, and enable certain features. Your question text or document content may be transmitted to such providers solely for the purpose of providing the Service. We do not send your email, name, or account details to AI providers.
We are not responsible for the availability, performance, or output accuracy of third-party AI systems. We do not control how third-party AI providers process or retain data submitted through their APIs. The specific AI provider used depends on your organization's configuration.
10. API Usage
API access is available to Teams and Enterprise subscribers and is subject to rate limits and usage quotas as defined by your subscription tier. You may not resell, sublicense, or provide API access to third parties without our written authorization. We reserve the right to throttle or suspend API access for abuse or excessive usage.
11. Beta Features
Some features may be marked as "Beta" or "Preview." Such features are provided as-is and may be modified, degraded, or discontinued at any time without notice. Beta features are not covered by any SLA or uptime guarantees.
12. Service Modifications
We may modify, update, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that affect paid subscribers. Continued use of the Service after modifications constitutes acceptance of the changes.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:
- The Service will be uninterrupted, error-free, or secure
- Generated prompts will produce accurate or satisfactory results from third-party AI tools
- Domain classification will always be accurate
- The Service will meet your specific requirements
RioAsk is a prompt engineering tool, not a source of professional advice. Generated prompts for medical, legal, or financial topics are not substitutes for professional consultation. You are solely responsible for reviewing and validating all generated prompts and outputs before relying on them.
14. Limitation of Liability
To the maximum extent permitted by law, RiroTech LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless RiroTech LLC, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or misuse of generated prompts or outputs.
16. Termination
We may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time via Settings. Upon termination, your right to use the Service ceases immediately. Data deletion follows the timeline described in our Privacy Policy. We may retain backups for a limited period for security and disaster recovery purposes.
17. Force Majeure
We are not liable for any delay or failure to perform our obligations due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, internet or infrastructure outages, government actions, or third-party provider failures.
18. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice in the Service. Continued use after changes constitutes acceptance.
19. Governing Law
These Terms are governed by the laws of the State of Delaware, United States. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
